1.1 This website, accessible at https://managelei.in ("Website"), is operated by LEI Register India Private Limited, a company incorporated under the Companies Act, 2013 ("Company", "we", "us", "our").

1.2 By browsing the Website, you agree to be bound by these Terms and Conditions ("Terms") and our Privacy Policy and Cookie Policy.

1.3 If you do not agree with these Terms, please do not use the Website.
2. Website and ManageLEI Platform:

2.1 The Website provides information about the ManageLEI Platform, an enterprise LEI lifecycle management solution, and allows prospective customers to request demonstrations and contact us.

2.2.The ManageLEI Platform is intended primarily for banks, NBFCs, financial institutions and other organizations that manage LEI portfolios. Any LEI registration, renewal, transfer and related services you actually buy or use will be governed by separate platform terms or service/partner agreements presented at the time of onboarding.

2.3. For the purposes of these Terms, references to the “Website” mean the public informational site at https://managelei.in and its Book a Demo and other contact features. References to the ManageLEI Platform mean the secure, authenticated service environment made available to enterprise customers under separate written agreements.

2.4. In case of any conflict between these Terms and any executed master service agreement, platform terms or order form governing your use of the ManageLEI Platform, such executed agreement will prevail to the extent of the conflict.

2.5. Nothing on this Website constitutes legal, tax, financial or investment advice. You should obtain independent advice before relying on information from the Website.

2.6. Scope of Services
ManageLEI provides a dashboard solution for Legal Entity Identifier (LEI) lifecycle management, including:
- 2.6.1 Importing and Validating LEI inputs
- 2.6.2 Portfolio monitoring and expiration alerts
- 2.6.3 Searching LEI in GLEIF database
3. Eligibility and Permitted Use:

3.1 You may use the Website only if you:
- 3.1.1. Are at least 18 years old; and
- 3.1.2. Have capacity to enter into a binding contract under applicable law.

3.2. Where you submit a “Book a Demo” request, you confirm that:
- 3.2.1. The information you provide (name, mobile number, email, organisation, designation) is accurate and relates to you; and
- 3.2.2. You are authorized to be contacted on behalf of the organisation you mention, if any.

3.3. You agree not to:
- 3.3.1. Use the Website for any unlawful, harmful or fraudulent purpose;
- 3.3.2. Attempt to gain unauthorised access to any part of the Website, Platform, server or related systems;
- 3.3.3. Interfere with or disrupt the Website or networks connected to it.
4. User Accounts & Security:
This Section 4 applies where you have been provided with login credentials to access the ManageLEI Platform or any other secure area of the Website.

4.1. Authorized Use:
You represent that you are authorized to act on behalf of the legal entities for which you are managing LEIs.

4.2. Credentials:
You are responsible for maintaining the confidentiality of your login credentials. All activities under your account (including audit logs recorded by our system) are your responsibility.

4.3. Accuracy:
You warrant that all data and documents provided (e.g., PAN, GSTIN, Board Resolutions) are accurate and current. Incorrect data may lead to LEI rejection, for which we are not liable

4.4. Audit trail
You acknowledge that the ManageLEI Platform maintains detailed logs of user actions (including log‑ins, LEI searches, uploads, renewals, transfers and downloads) together with timestamps and user identifiers, and that these logs may be used for security, compliance and audit purposes by us and, where applicable, by your organization.

4.5. Internal authorization
You are responsible for ensuring that each user you authorise to access the ManageLEI Platform on behalf of your organisation has appropriate internal approvals and uses the platform strictly in accordance with your internal policies and applicable law.
- 4.6. These Terms cover (a) informational use of the Website, (b) demo access (if any) and (c) customer/platform access once accounts are provided.
5. Fees and Payments:

5.1.Pricing:
Pricing for LEI services is communicated off‑site to your organization or in the platform, not necessarily on managelei.in.

5.2. Refunds:
Once an application has been submitted to the LOU, fees are generally non-refundable, regardless of the outcome of the application (e.g., rejection). Refunds, if any, will be handled at our sole discretion and may be subject to administrative charges.

5.3. Taxes:
All fees are exclusive of GST, which will be charged as applicable.
6. “Book a Demo” and Communications:

6.1. When you submit a demo or contact request, you consent to our use of the submitted data (name, mobile number, email address, organisation and designation, if provided) to:
- 6.1.1. Contact you by email or phone regarding ManageLEI;
- 6.1.2. Schedule and conduct demonstrations;
- 6.1.3. Send follow‑up information, proposals and product‑related communications.
- 6.2. You may ask us at any time to stop receiving marketing‑style emails. We may still send necessary transactional or service‑related communications as long as we are in active discussions or engaged with your organization.
7. Service Availability and Changes:

7.1. While we aim for high availability for both the Website and the ManageLEI Platform, we do not warrant uninterrupted or error‑free operation, and downtime may occur due to maintenance, upgrades, or third‑party system issues (including LOU, GLEIF or hosting‑provider systems).

7.2. We may modify, suspend, or discontinue any part of the Website or Platform, or introduce new features, at any time with or without notice.

7.3. We may update these Terms periodically; continued use after changes are posted constitutes acceptance of the updated Terms.
8. Third‑Party and Open‑Source Components:

8.1. The Website and/or Platform are built on and may integrate third‑party and open‑source technologies, including but not limited to:
- 8.1.1. Drupal CMS and its modules/libraries;
- 8.1.2. Other open‑source packages and dependencies;
- 8.1.3. Google Tag Manager and Google Analytics for analytics and tagging.

8.2. These components are governed by their own licenses and terms. Nothing in these Terms grants you any rights to underlying third‑party code beyond what those licenses permit.
9. Security and OWASP Dependency‑Check:
- 9.1. We take security seriously and may use tools and practices such as OWASP Dependency‑Check or similar software composition analysis utilities to identify vulnerabilities in third‑party libraries used in our codebase.
- 9.2. These tools operate on our code and dependency metadata; data about vulnerabilities and dependencies may be processed and stored by or for these tools, but is used solely for security purposes and code maintenance. They are not used to profile or track Website visitors.
10. Intellectual Property

10.1. The ManageLEI dashboard, including its code, design, "Smart Alerts" logic, and interface, is the intellectual property of LEI Register India Pvt Ltd. You are granted a limited, non-exclusive, non-transferable license to use the platform solely for internal compliance purposes.

LEI Platform or any LEI data published in global LEI databases; you receive only a limited right to access and use the platform as a service, as set out in your agreement with us.

10.3. All text, graphics, logos, designs, layout and other content on the Website are owned by or licensed to the Company and protected by applicable copyright and intellectual property laws.

10.4. You may view, download and print content solely for your internal business use and evaluation of our services. You must not:

10.4.1. Modify, reproduce, republish or distribute Website content for commercial use without our prior written consent;

10.4.2. Use our trademarks, logos or branding without our permission.

11. Disclaimers

11.1. The Website is provided on an “as is” and “as available” basis. We do not guarantee that the Website will be uninterrupted, error‑free, secure or free of viruses.

11.2. While we aim to ensure that information on the Website is accurate and up‑to‑date, we do not guarantee completeness or accuracy and assume no liability for errors or omissions.

12. Limitation of Liability

12.1. To the maximum extent permitted by law, we will not be liable for any indirect, incidental, consequential, special, punitive or exemplary damages (including loss of profits, revenue, data or business opportunities) arising out of or in connection with:

12.1.2. Reliance on any content on the Website; or

12.1.3. Any unauthorized access to or alteration of your transmissions or data.

12.2. We are not liable for delays caused by the LOU, GLEIF, or technical downtime of global LEI databases.

12.3. Our total aggregate liability for all claims relating to the terms of Website shall be limited maximum up to ₹ 10,000/- or the amount you have actually paid to us for specified services (if any) for the period of 12 (twelve) months preceding the event, whichever is lower.

12.4. If you or your organization have entered into a separate written agreement with us governing your use of the ManageLEI Platform or other paid services (for example, a master service agreement, order form or partner agreement), any liability caps and exclusions in that agreement will apply to those services and will prevail over this Section 12 in the event of any inconsistency.

13. Links to Third‑Party Sites:

13.1. The Website may contain links to third‑party websites or resources (for example, OWASP, Google or partner sites). These are provided for convenience only; we do not endorse, control or take responsibility for their content, policies or practices.

13.2. Your use of third‑party sites is at your own risk and subject to their terms and policies.
14. Governing Law and Jurisdiction:

14.1. These Terms shall be governed by and construed in accordance with the laws of India.

14.2. Subject to applicable law, the courts at Mumbai, Maharashtra, shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms or your use of the Website.
15. Changes
We may update these Terms from time to time. The “Last updated” date indicates the latest revision. Your continued use of the Website after changes are posted constitutes acceptance of the revised Terms.
